Purpose
Policy #6.40: This policy sets forth the conditions for which the College will indemnify an employee who is party or threatened to be party for a legal claim.

Policy Scope
This policy applies to all faculty and staff.

The College will indemnify an employee who is a party or is threatened to be made a party to any threatened, pending, or completed action or suit by reason of the fact that such person is an employee of the College against expenses (including attorneys’ fees), judgments, fines, and amounts paid in settlement actually and reasonably incurred by such person in connection with such action, suit or proceeding if such person acted in good faith and in a manner the person reasonably believed to be within the scope of their job responsibilities and reasonably believed to be in or not opposed to the best interests of the College, and with respect to any criminal action or proceeding, such person had no reasonable cause to believe the conduct was unlawful. The determination of whether a person acted in good faith will be made by the College’s Board of Trustees. If any employee refuses to participate in the preventing sexual harassment training, the College will not provide indemnification or defense in the event any sexual or other workplace harassment charges brought against the individual.
